Clerk
Board Officer · Volunteer · Massachusetts Resident Required
Community Conversations: Sister to Sister, Inc. is looking for a Clerk to help us hold our story. As we enter a new chapter of growth and governance clarity, this role is an invitation to be the keeper of our organizational memory — ensuring that what we build together is recorded, preserved, and accessible to those who come after us. CC is approaching seventeen and creatively aging. The records we keep now — minutes, bylaws, board history, founding documents will be our living archive. And at this specific moment of organizational maturation: They are the archive of a community’s evolution.
WHAT THIS ROLE HOLDS
– Record and maintain minutes of all Board of Directors meetings in a timely manner
– Archive organizational records including the Articles of Organization, bylaws, and director information
– Maintain records of incorporator meetings and keep all books open to director inspection
– Ensure records are kept within the Commonwealth at CC’s designated location
– Attend quarterly Board governance meetings; if absent, a temporary clerk is designated
– Anchor the governance record with minutes prepared, distributed, and archived
– Delegate recordkeeping support to Governance Interns as appropriate
TIME COMMITMENT, TERM, & RESIDENCY REQUIREMENTS
Quarterly governance meetings in September, December, March, and June (1 hour each). Minutes preparation and distribution before and after each meeting. Estimated 3–5 hours per quarter. Primarily remote. Initial board appointments are 1, 2, or up to 3 years. Term length is determined in conversation with the incoming Clerk based on availability and organizational need. Residency requirement: Per Massachusetts law and CC’s bylaws, the Clerk must be a resident of the Commonwealth of Massachusetts, unless the corporation has a duly appointed resident agent for service of process.
GOVERNANCE INTERNS
The Clerk may delegate administrative recordkeeping support to CC’s Governance Interns — making this role an opportunity to mentor the next generation of community governance practitioners.
WHO WE’RE HOPING TO FIND
Someone who is organized, reliable, and understands that a well-kept record is an act of care for the community. Background in administrative support, archiving, legal documentation, governance, or community organizing is welcome. What matters most is presence, attentiveness, and a genuine connection to CC’s mission.
